1. Research Use Only — Critical Notice

Every product offered by pepuro is a research chemical supplied strictly for in-vitro laboratory research and analytical use only. Products are sold to and intended for use by qualified persons conducting lawful scientific research.

Our products are expressly NOT, and may never be treated as:

• drugs, medicines or pharmaceuticals;
• natural health products, dietary supplements, vitamins or foods;
• cosmetics or personal-care products;
• medical devices or diagnostics;
• products intended to diagnose, treat, cure, mitigate or prevent any disease or condition in humans or animals.

Our products have not been evaluated or approved by Health Canada, the U.S. Food and Drug Administration, or any other regulatory authority for safety or efficacy in humans or animals. They must never be ingested, injected, inhaled, applied to the body, or otherwise introduced into or onto humans or animals, and must never be used in any clinical, therapeutic, diagnostic, cosmetic or food context.

You are solely responsible for handling, storing, using and disposing of the products safely, lawfully, and in accordance with all applicable laws, regulations, institutional protocols and good laboratory practices. Title and all risk associated with the products pass to you on delivery.

2. Acceptance of These Terms

These Terms, Privacy & Legal Policies (the "Terms") form a binding agreement between you and [Legal Entity Name] ("pepuro", "we", "us"). By accessing the site, placing an order, or otherwise using our services, you acknowledge that you have read, understood and agree to be bound by these Terms and by the research-use-only restriction above. If you do not agree, do not use the site or purchase any product.

These Terms incorporate, by reference, any product-specific notices, shipping information and disclaimers published elsewhere on the site.

3. Eligibility & Buyer Representations

By placing an order, you represent and warrant that:

• you are at least 18 years of age (or 19+ where required by your province or territory);
• you are legally permitted to purchase, receive and possess research chemicals where you live;
• you are a qualified researcher, or are otherwise capable of handling research materials safely, and you are acquiring the products solely for lawful laboratory research;
• you will not use, resell, supply or distribute the products for human or animal consumption or for any unlawful purpose;
• all information you provide to us is accurate, current and complete; and
• you accept full responsibility for ensuring your purchase and intended use comply with all laws applicable to you.

We may refuse, cancel or limit any order at our sole discretion, including where we reasonably believe a product may be misused or where a transaction appears fraudulent or unlawful.

4. No Medical, Veterinary or Professional Advice

All content on the site — including product descriptions, articles in our Learn section, FAQs, and any third-party reference material — is provided for general informational and research-reference purposes only. It is not medical, veterinary, pharmaceutical, scientific or other professional advice, and it is not a recommendation, instruction or endorsement to use any product in or on humans or animals.

We do not provide dosing instructions or usage protocols for living subjects. Nothing on the site should be relied upon as a substitute for advice from a qualified professional. Any reliance you place on site content is strictly at your own risk.

5. Acceptable Use & Prohibited Conduct

You agree not to, and not to permit anyone else to:

• use, administer or supply any product for human or animal consumption or any in-vivo use;
• misrepresent the products as drugs, supplements, foods or approved for any therapeutic use;
• resell, relabel or repackage products in violation of any law;
• use the site for any unlawful, fraudulent or harmful purpose;
• attempt to gain unauthorized access to, interfere with, or disrupt the site, its security, or its underlying systems;
• scrape, harvest or collect data from the site except as expressly permitted; or
• infringe our or any third party's intellectual property or other rights.

We may suspend or terminate access and cancel orders for any actual or suspected breach of this section.

6. Products, Pricing & Availability

We try to describe products and display prices accurately, but we do not warrant that descriptions, images, specifications, pricing or other content are error-free, complete or current. Colours, label designs and packaging may vary.

All prices are in Canadian dollars (CAD) unless stated otherwise and are subject to change without notice. If a product is listed at an incorrect price or with incorrect information due to a typographical, pricing or other error, we may cancel or refuse any order placed for that product, even after an order confirmation has been sent, and will refund any amount already paid. Products are subject to availability and may be discontinued at any time.

7. Orders & Payment (Interac e-Transfer)

When you place an order you make an offer to purchase. No contract is formed until we accept your order and confirm payment. We currently accept payment by Interac e-Transfer.

• After checkout, your order is held in a pending state until your e-Transfer is received and verified.
• You are responsible for sending the e-Transfer to the exact address shown and for any fees your financial institution may charge.
• We verify payments manually; processing may take time. Orders not paid within a reasonable period may be cancelled.
• We do not store your banking credentials. e-Transfers are processed through your financial institution under its own terms.

We reserve the right to refuse, limit or cancel any order, and to require additional verification before fulfilment.

8. Shipping & Delivery

• We ship within Canada only. We do not ship internationally.
• Orders ship after payment is received and verified. Delivery estimates are estimates only and are not guaranteed.
• Risk of loss and title pass to you upon delivery to the carrier or to your address, as applicable.
• You are responsible for providing a complete, accurate shipping address. We are not responsible for delays, losses or non-delivery caused by incorrect addresses, carrier issues, or events beyond our control.
• You are responsible for ensuring it is lawful for you to receive the products at your delivery location.

9. Returns, Refunds & Cancellations

Because our products are sensitive research materials whose integrity and safety cannot be assured once they leave our control, the following applies:

• No returns are accepted on opened, used, or temperature-sensitive products for safety and integrity reasons.
• If a product arrives damaged, defective or incorrect, contact us at [email protected] within 7 days of delivery with your order reference and photos. We will, at our option, replace the item or issue a refund.
• Refunds, where granted, are issued to the original payer by e-Transfer and may take several business days.
• You may request cancellation of an order before it ships; once shipped, an order cannot be cancelled.

This section does not limit any non-waivable rights you may have under applicable consumer protection law.

10. Assumption of Risk & Disclaimer of Warranties

You knowingly and voluntarily assume all risks associated with the purchase, handling, storage, use and disposal of the products. You acknowledge that research chemicals can be hazardous and that you are responsible for using appropriate safety measures.

To the maximum extent permitted by law, the products and the site are provided "as is" and "as available," without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the products are fit for any particular use, that the site will be uninterrupted or error-free, or that any content is accurate or complete. No advice or information obtained from us creates any warranty not expressly stated here.

11. Limitation of Liability

To the fullest extent permitted by law, pepuro, its owners, officers, employees, suppliers and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the products, the site, or these Terms, whether based in contract, tort (including negligence), strict liability or otherwise, even if advised of the possibility of such damages.

In particular, we accept no liability whatsoever for any injury, loss, damage or harm of any kind arising from any use of a product that violates the research-use-only restriction, including any human or animal consumption or administration, all of which is strictly prohibited and entirely at the user's own risk.

To the extent any liability cannot be excluded, our total aggregate liability for all claims relating to a product or order will not exceed the amount you actually paid for the product or order giving rise to the claim. Some jurisdictions do not allow certain limitations; in those cases the limitations apply to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend and hold harmless pepuro and its owners, officers, employees, suppliers and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of any product, including any use on humans or animals; (c) your violation of any law or the rights of any third party; or (d) information you provide to us.

13. Privacy Policy

We respect your privacy and handle personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws. This section explains what we collect, why, and your rights.

Information we collect

• Order & contact details you provide: name, email, phone (optional), and shipping address.
• Order information: the products you buy, order reference, amounts, coupon codes, and order status.
• Payment information: we use Interac e-Transfer and do not collect or store your banking credentials or card numbers.
• Technical & usage data: limited analytics such as pages visited and general device/browser information, collected to operate and improve the site.
• Marketing attribution: first-touch referral and campaign parameters (e.g. UTM tags, referrer, landing page) so we understand how visitors find us.
• Local storage: we store your shopping cart and attribution data in your browser's local storage so your cart persists between visits.

How we use your information

• to process, verify, fulfil and ship your orders, and to communicate with you about them;
• to provide customer support and respond to your requests;
• to operate, secure, maintain and improve the site;
• to detect and prevent fraud, abuse and security incidents;
• to comply with our legal obligations; and
• with your consent, to send you marketing communications (see Section 14).

How we share information

We do not sell your personal information. We share it only with service providers who help us run the business, and only as needed, including:

• shipping carriers, to deliver your order;
• our email service provider, to send order and (where consented) marketing emails;
• an address-autocomplete provider, to help you enter your shipping address;
• analytics and hosting providers, to operate the site; and
• internal operational tools used to notify our team of new orders.

We may also disclose information where required by law, to enforce our Terms, or to protect our rights, safety, or the rights and safety of others. If our business is involved in a merger, acquisition or sale of assets, information may be transferred as part of that transaction.

Cookies & tracking

We use essential browser storage to run the cart and remember attribution, and limited analytics to understand site usage. You can control or clear cookies and local storage through your browser settings; disabling them may affect site functionality such as the cart.

Data retention

We keep personal information only as long as necessary for the purposes described here, including to fulfil orders, provide support, and meet legal, accounting and reporting requirements, after which we delete or anonymize it.

Security

We use reasonable administrative, technical and physical safeguards to protect personal information. No method of transmission or storage is 100% secure, however, and we cannot guarantee absolute security.

Your privacy rights

Subject to applicable law, you may request access to, or correction of, the personal information we hold about you, withdraw consent to marketing, or ask questions about our practices by emailing [email protected]. We will respond within the timeframes required by law. You also have the right to complain to the Office of the Privacy Commissioner of Canada.

Children

The site is not directed to, and our products may not be purchased by, anyone under the age of majority. We do not knowingly collect personal information from minors.

Data location & transfers

Your information may be processed or stored by service providers located outside your province or outside Canada, where it may be subject to the laws of those jurisdictions. By using the site you consent to this processing.

14. Marketing & Email Consent (CASL)

We send transactional messages related to your orders (for example, order confirmations and shipping updates) as a necessary part of providing our service. We will only send you marketing or promotional emails where you have given consent in accordance with Canada's Anti-Spam Legislation (CASL). Every marketing email includes an unsubscribe link, and you can withdraw consent at any time by using it or by emailing [email protected].

15. Intellectual Property

The site and its content — including text, graphics, logos, product photography, page layouts, and the pepuro name and branding — are owned by pepuro or its licensors and are protected by intellectual property laws. You may not copy, reproduce, distribute, modify or create derivative works from any part of the site without our prior written permission, except as permitted by these Terms or applicable law.

16. Third-Party Links & Services

The site may contain links to third-party websites or rely on third-party services. We do not control and are not responsible for the content, policies or practices of any third party. Links are provided for convenience only and do not imply endorsement. Your dealings with any third party are solely between you and that third party.

17. Governing Law & Disputes

These Terms and any dispute arising out of or relating to them, the site or the products are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Toronto, Alberta, Canada for the resolution of any dispute, except where prohibited by applicable law. Any claim must be brought within the limitation period prescribed by law.

18. Force Majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, fire, flood, epidemics or pandemics, labour disputes, carrier or supplier failures, interruptions of utilities or telecommunications, government action, or other acts of force majeure.

19. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the latest version took effect. Changes are effective when posted. Your continued use of the site or placement of an order after changes are posted constitutes acceptance of the revised Terms.

20. General Provisions

• Entire agreement: these Terms are the entire agreement between you and us regarding the site and products and supersede any prior understandings.
• Severability: if any provision is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be enforced to the maximum extent permitted.
• No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale of our business.
• Survival: provisions that by their nature should survive termination (including disclaimers, limitations of liability and indemnities) survive.
